Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at flatfeemlsny.com (the "Site") and the flat fee MLS listing services described on the Site (the "Services"), offered by Statewide Properties LLC, a licensed real estate brokerage in the State of New York, NY DOS License #10991243046 ("Company," "we," "us," or "our").

By using the Site, submitting a property for listing, or purchasing any Service, you agree to these Terms. If you do not agree, do not use the Site or the Services.

If you engage us to list a property, you will also sign a separate Exclusive Listing Agreement (delivered and executed electronically through our e-signature provider). That Listing Agreement is the binding contract between you and the Company for the listing of your specific property. These Terms govern your use of the Site generally and supplement, but do not replace, the Listing Agreement. Where these Terms and a signed Listing Agreement conflict on a listing-specific matter, the Listing Agreement controls.

1. Who We Are

Statewide Properties LLC is a licensed real estate brokerage authorized to do business in New York State. We are a real, practicing brokerage — not a referral network or a technology company that merely connects you with third-party agents. When you list with us, we are your listing broker of record, and your property is entered onto the Multiple Listing Service (MLS) directly by our licensed brokerage.

2. Description of Services

Our Services consist of entering your property's information, photos, and pricing onto the applicable New York MLS as a flat-fee listing, and allowing that listing to syndicate to third-party real estate websites. Depending on your plan, the Services include a set number of complimentary listing edits, contract/disclosure form templates, and email support.

• We are a limited-service listing brokerage. Unless you separately engage us for additional services in writing, we do not show your property, negotiate offers on your behalf, review contracts for you, or represent you in transaction negotiations.
• You remain responsible for coordinating showings (through the showing-coordination tool we provide access to), fielding and evaluating offers, and handling your own transaction management, unless otherwise agreed in writing.
• We do not act as a dual agent, buyer's agent, attorney, accountant, or financial advisor in connection with your listing.

3. Eligibility

You must be at least 18 years old and have the legal right and authority to list, sell, or lease the property you submit (as owner, executor, authorized member of an LLC/trust, or holder of a valid power of attorney) to use the Services. You may be asked to upload documentation demonstrating ownership or authority before your listing is entered on the MLS.

4. Fees and Payment

Current plan pricing, included edits, and listing terms are posted on the Site and may change at any time; the price in effect at the time you submit payment applies to your listing.

• A card processing surcharge (currently 3.5% of the plan price) is added at checkout to cover payment processing costs.
• Listing edits beyond the number included in your plan are billed at the per-edit rate posted on the Site at the time of the request (currently $5 per edit).
• Optional add-ons (such as a printable listing flyer) are billed separately at the price shown at checkout.
• All payments are processed securely through our third-party payment processor, Stripe. We do not store your full card number.

Once your listing fee is paid, it is non-refundable — including if you later cancel your listing, the property does not sell or rent, the property fails to qualify for MLS entry after payment for reasons within your control (such as inaccurate ownership information), or you change your mind. You separately acknowledge this at checkout. This does not affect your right to cancel the listing agreement itself, as described in Section 8.

5. Accuracy of Listing Information

You are solely responsible for the accuracy and completeness of all information, descriptions, pricing, disclosures, and photographs you submit to us for your listing. We enter listings based on what you provide and do not independently verify square footage, lot lines, school assignments, tax figures, permit status, or similar details.

You represent that your submitted content does not violate any law, does not infringe any third party's rights, and complies with all applicable Fair Housing laws — listings and any related marketing may not contain language or preferences that discriminate based on race, color, religion, sex, national origin, familial status, disability, or any other protected characteristic under federal, New York State, or local law.

We reserve the right to decline, edit, suspend, or remove any listing content that we reasonably believe is inaccurate, unlawful, discriminatory, or in violation of MLS rules.

6. MLS Entry and Syndication

Your listing is entered by our licensed brokerage onto the applicable New York State MLS. From there, it is automatically distributed by the MLS and its data feeds to third-party real estate websites (such as Zillow, Realtor.com, Trulia, Homes.com, Redfin, and Apartments.com) and to other MLS participants and their websites.

• We do not control, and cannot guarantee, the timing, formatting, ranking, or continued display of your listing on any third-party website. Estimated syndication windows referenced on the Site are typical, not guaranteed.
• Your listing is subject to the rules, data standards, and display policies of the applicable MLS and of each third-party site, which may change without notice to us.
• The MLS or a third-party site may reject, delay, or remove your listing for reasons outside our control, including MLS rule violations, data format changes, or platform outages.

7. Photos and Listing Content License

You retain ownership of the photographs and written content you submit. By submitting them, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, edit for formatting, distribute, and syndicate that content to the MLS and its downstream partner websites for the duration of your listing (and for a reasonable period afterward, since removal from every downstream site is not always immediate or within our control).

You confirm you own or have the right to use every photo, floor plan, or other file you upload, and that none of it infringes a third party's copyright or other rights.

8. Listing Term, Renewal, Changes, and Cancellation

Your listing runs for the term associated with your plan (1, 3, or 6 months) from the date it goes live, or from your prior expiration date if you renew before expiring. You may request a renewal before your listing expires through the Site's renewal flow.

You may request listing edits through the Site's change-request flow, up to the number of complimentary edits included in your plan; additional edits are billed as described in Section 4.

You may cancel your listing agreement at any time, without penalty, provided there is no pending contract, accepted offer, or transaction in progress on the property. The fee you already paid remains non-refundable, as described in Section 4. To cancel, contact us using the information in Section 15.

9. No Real Estate, Legal, Tax, or Financial Advice

Nothing on the Site, in our marketing, or in communications from our staff or our AI assistant ("Hannah") constitutes legal, tax, financial, or real estate advice specific to your situation. Contract and disclosure form templates we provide are general-purpose forms, not a substitute for review by an attorney. You are encouraged to consult a licensed attorney and/or tax professional before signing any contract or completing a transaction.

Our AI assistant is provided for general convenience and may give incomplete, generic, or occasionally inaccurate answers. It does not replace direct communication with our staff for anything material to your listing or transaction.

10. Buyer and Agent Communications

To protect your privacy, your phone number and email address are not displayed publicly on your listing. Showings are coordinated through a third-party showing-coordination service. Buyer's agents will be able to see your contact information in the showing instructions field on the MLS, and we will share your contact information with a prospective buyer or agent who reaches out to us directly about your property.

By listing with us, you consent to being contacted by us, by prospective buyers, and by their agents by phone, text, or email regarding your listing.

11. Third-Party Services

The Services rely on third-party providers we do not control, including the MLS, syndication partners (e.g., Zillow, Realtor.com, Trulia, Homes.com, Redfin, Apartments.com), our showing-coordination provider, our e-signature provider, and our payment processor. We are not responsible for outages, errors, delays, or policy changes on the part of these third parties.

12. Prohibited Conduct

• Submitting false ownership information or listing a property you do not have authority to list.
• Submitting discriminatory listing content that violates Fair Housing laws.
• Using the Site to scrape, harvest, or extract data via automated means.
• Attempting to interfere with, disrupt, or gain unauthorized access to the Site or our systems.
• Using our AI assistant or contact forms to submit unlawful, abusive, or fraudulent content.

We may suspend or terminate your access to the Site and, where applicable, remove your listing, if we reasonably believe you have violated this section.

13. Intellectual Property

The Site's design, text, graphics, and software (excluding content you submit) are owned by the Company or its licensors and may not be copied, reproduced, or distributed without our prior written consent.

14. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available." We do not warrant that your listing will result in a sale or rental, that the Site will be uninterrupted or error-free, or that data displayed on third-party syndication sites will be accurate or current. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law, the Company's total liability to you arising out of or related to the Site or the Services will not exceed the total amount you paid us for the listing giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost sale proceeds, even if advised of the possibility of such damages. Nothing in this section limits liability that cannot be limited under New York law.

16. Indemnification

You agree to indemnify and hold harmless the Company and its members, officers, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, the information or content you submit, or your conduct in connection with a showing, negotiation, or transaction involving your property.

17. Termination

We may suspend or terminate your access to the Site's tools at any time for violation of these Terms. Termination of your Site access does not, by itself, terminate a signed Listing Agreement, which is governed by its own terms.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Services will be brought exclusively in the state or federal courts located in Nassau County, New York, and you consent to personal jurisdiction there.

19. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above reflects the last revision. Continued use of the Site after an update constitutes acceptance of the revised Terms. If we change a term that materially affects an active, unexpired listing, the version of the Terms in effect when you signed your Listing Agreement will continue to govern that listing.
